Constitution and By-Laws continued
Article VII
ADOPTION AND AMENDMENT
Section 1.
This amended Constitution and By-Laws, shall have been adopted by an affirmative vote of two-thirds (2/3rds) of the
members present at any regular business meeting of the Association, provided notice has been given to the membership
of any changes from the existing Constitution and By-Laws, at least thirty (30) days in advance of such vote.
Section 2.
Suggested amendments to the Constitution and ByLaws may be submitted in writing to the Board of Trustees by any Active
Member. The Board of Trustees may, at its discretion submit such proposed amendments to the membership for adoption,
or rejection, or further amendment. Any active member may submit an amendment to the Constitution and By-Laws directly
to the membership, upon his own volition, provided he has first submitted such amendment to the Board of Trustees and
failed to gain the endorsement of the Board. A motion to the General Membership, which is not an amendment, need not
first be submitted to the Board of Directors.
Section 3.
Amendments to this Constitution and By-Laws shall be made only in accordance with the above provisions.
Article VIII
ADMINISTRATION
Section 1.
The five (5) officers of the Association shall be a President, Vice President, Secretary, Treasurer, and Sergeant-at-Arms.
Section 2.
In addition to the five (5) officers there shall be four (4) directors who, belong with the immediate Past President
shall constitute the nine (9) members of the Board of Trustees. The President, Chairman of the Board, shall vote only
in the event of a tie.
Section 3.
The term of the officers shall be for one (1) year. The term of the directors shall be for two (2) years, with two (2)
elected each year. No officer or director with the exception of the Secretary and/or Treasurer, may succeed himself.
Section 4.
The President shall, if possible, preside at all meetings. In the absence of the President and Vice-President, either
may appoint a Chairman, or the Secretary may preside. The President shall appoint Committees for specific or general
purposes and may, at his discretion, appoint an Administrative Executive Committee for his term of office, composed of
members of the Board of Trustees for the assignment of matters arising under extenuating circumstances, as determined
by the President. The President shall act in an executive capacity at all times in carrying out the usual and customary
presidential duties, with the sanction of the Board of Trustees. The President shall automatically become a member of
the Board of Trustees during the administration immediately following his term of office as President.
Section 5.
The Vice·President shall assume the duties of the President, in the President's absence, and shall succeed to the office
of President for the remainder of the term should that office become vacant.
Section 6.
The Secretary shall keep a membership book containing the name and address of each member, company affiliation, and the
date of admission to membership; keep sufficient and adequate records of attendance; the proceedings at all regular or
special meetings of the membership and/or of Trustees; and shall otherwise perform the usual secretarial duties, or
duties as requested by the Board of Trustees.
Section 7.
The Treasurer shall set up annual or otherwise appropriate financial guidelines at the beginning of the year and as
requested by the Board of Trustees throughout the year. He shall collect dues, and disburse funds upon proper
authorization to do so. He shall keep a record of receipts and disbursements and otherwise perform the usual duties
of the office of Treasurer, or as requested by the Board of Trustees.
Section 8.
The Sergeant.at·Arms shall maintain respectful and dignified attention and order at the meetings, and upon occasions,
as directed by the President, Board of Trustees, or Chairman. He shall be the custodian of Association equipment such
as the name badges, and shall perform the usual duties of Sergeant-at-Arms.
He shall deter conversations in the audience during a guest speaker program.
Article IX
COMMITTEES
Section 1.
The President shall appoint an Arrangements Committee which shall be a standing committee. The Arrangements Committee
shall provide for programs and social functions not specifically delegated to any special committee for that purpose
as determined by the President. It is recommended that one member of such committees have experience serving on the
same committee previously.
Section 2.
A new Nominating Committee shall be automatically developed each year consisting of the first three active immediate
Past Presidents, who are available. It shall be a repetitive committee from year to year, with one change in its
membership each year. The most recent available Past President shall act as Chairman.
ARTICLE X
MEETINGS
Section 1.
A regular meeting of the general membership of the Association shall be held once each month throughout the calendar
year. Exceptions to this would be weather emergencies, extenuating circumstances as would make a meeting inappropriate;
or by a vote of the general membership.
Section 2.
The Board of Trustees shall meet once each month unless otherwise determined by the President or upon request to the
President to call an emergency meeting by any three (3) members to the Board of Trustees.
Section 3.
The regular monthly meeting shall start with the serving of dinner as near to 6:30 p.m. as possible. The program shall be
schedule for as near 30 minutes in length as possible, consistent with the type of program, and shall begin as near
to 7:30 p.m. as possible.
Section 4.
The business session shall start as near to 8:00 p.m. as possible and proceed with expediency to adjournment at 9:00 p.m..
The meeting may be continued after 9:00 p.m., at the discretion of the Chairman, and in the absence of objection by a
majority vote of the membership. At the will of the membership, any business not disposed of by 9:00 p.m. may be held
over until the next regular meeting.
Section 5.
Special meetings of the general membership may be called by the President or by five (5) members of the Board of Trustees,
in the absence of presidential action.
ARTICLE XI
ELECTIONS
Section 1.
The Nominating Committee shall present the name of one nominees for each of the five offices, at the regular October
meeting. Thereafter nominations for each office shall be in order from the floor. Prior agreement of a prospective
nominee to serve must be obtained to validate a nomination.
Section 2.
Nominations shall be closed with the close of the October meeting in each calendar year.
Section 3.
The secretary shall prepare ballots for the elections.
Section 4.
The annual election shall be held at the first regular meeting in December, unless otherwise directed by the Board of
Trustees. The election of officers and directors for the next calendar year shall be held at this meeting, which shall
be a closed meeting.
Section 5.
Two Directors are to be elected each year, for two year terms, thus providing for a one year over-lap of two Directors
from year to year.
Section 6.
The newly elected officers and directors shall take office January 1.
Section 7.
Special elections may be called by order of the Board of Trustees to fill any vacancy on the Board of Trustees. However,
such vacancies may be filled by a Board of Trustees appointment.
ARTICLE XII
INITIATION FEE AND DUES
Section 1.
The initiation fee is to be established by the Board of Trustees.
Section 2.
The fee for reinstatement of former members shall be consistent with the current annual dues, the same as a new member.
Section 3.
Thereafter, dues shall be established by the vote of the general membership upon recommendation of the Board of Directors
on an annual basis. Dues shall be payable at the January meeting each year. There shall be no assessments unless first
approved by a majority of the members present at any regular meeting, and provided notice of such a proposal has been
given the general membership (in the regular meeting notice) prior to the meeting where the assessment is to be voted on.
Section 4.
A member who has not paid his or her dues by or at the March meeting shall have automatically terminated his or her
membership. Any automatic termination of membership may be appealed to the Board of Trustees, and subsequently appealed
to the general membership in the event of claimed extenuating circumstances.
ARTICLE XIII
GRIEVANCES
The Board of Trustees shall investigate all matters which are reported as being detrimental to the interest of the
Association, or any member in good standing. However, the Board of Trustees may refer the matter to a grievance
committee or the President may appoint a special committee to investigate and report on the particular grievance.
The Board of Trustees may refer the entire subject of the issue or grievance to the general membership at any regular
business session, for its disposition by majority vote.
ARTICLE XIV
AUDIT OF BOOKS AND ACCOUNTS
The books of the Association shall be audited at least once annually by a committee appointed by the President. This
Auditing Committee shall report in writing to the Board of Trustees and to the general membership. Such report shall
be made a part of the permanent records of the Association.
ARTICLE XV
PROCEDURE
Section 1.
In matters of procedure not covered by specific provision's of the Associations' Constitution and By-Laws, the rules
prescribed in Robert's Rule of Order shall control. If no rule is applicable, the will of the Board of Trustees shall
prevail, subject to appeal to the general membership at the next business meeting.
Section 2.
It shall be the intent and objective of this Constitution and By-Laws to provide for the efficient, expeditious,
purposeful and orderly functioning of the Association under primary control of the Board of Trustees and the
overall control of the majority of the general membership.
ARTICLE XVI
SUMMARY ONLY
In order for a member to attend the annual picnic and Christmas party at member discounted rate, he/she shall have
attended three (3) regular meetings in the last 12 months. This is effective January 1, 1988 and will be prorated
to the specific event for the first 12 months.
